“承包”準確的說應是“ 承包經營管理”，是指企業與承包者間訂立 承包經營合同，將企業的“ 經營管理權”全部或部分在一定期限內交給承包者，由承包者對企業進行經營管理，並承擔 經營風險及獲取企業收益的行為。由於承包只是 企業經營管理的一種補充措施，不能消滅、變更原有企業或創設新的企業，也不能改變 合資企業的法人地位、名稱和經營範圍。承包者與被承包的企業間所存在的是一種 合同關係。因此，承包經營可採取 公開招標方式進行，也可根據董事會決議由合資企業直接與承包者（合資一方或第三方）簽訂承包經營協議。承包經營期間， 合營企業的負債餘額不得超過當年承包利潤的總額。
